Terms of Service — SkAI Portfolio Intelligence

Important: SkAI provides AI-generated real estate analysis for informational purposes only. This is not investment advice and does not constitute a professional appraisal, broker opinion of value, or fiduciary recommendation. You are solely responsible for your investment decisions. Please consult a licensed real estate professional, financial advisor, or attorney before making any investment.

1. Acceptance of Terms

By accessing or using SkAI ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using SkAI, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

2. Description of Service

SkAI is an AI-powered real estate deal analysis platform. The Service allows users to upload property documents (such as rent rolls, financials, and offering memoranda) for automated analysis and scoring. Outputs include estimated returns, cap rates, cash-on-cash analysis, and deal summaries.

SkAI is not a licensed real estate broker, investment advisor, appraiser, or financial planner. All analysis is generated by artificial intelligence and is intended solely as a starting point for your own due diligence. Nothing in the Service constitutes a recommendation to buy, sell, or hold any real estate asset.

3. Account Creation

Certain features of the Service require account registration. You agree to:

Provide accurate, current, and complete information during registration
Maintain the security of your account credentials
Notify us immediately at support@polsia.app of any unauthorized use
Accept responsibility for all activities that occur under your account

We reserve the right to terminate accounts that violate these Terms or engage in fraudulent activity.

4. Acceptable Use

You agree not to use the Service to:

Upload documents you do not have the right to share (confidential materials, NDAs, third-party proprietary data)
Attempt to reverse engineer, scrape, or extract the underlying AI models
Submit false, misleading, or fraudulent property information
Violate any applicable local, state, federal, or international law
Interfere with or disrupt the integrity or performance of the Service
Use automated tools (bots, scrapers) to access the Service without written permission
Resell or redistribute analysis outputs as professional advisory services without our consent

5. Payment Terms

Pay-Per-Use (PPU): One-time analysis fees are charged per deal submission. PPU fees are non-refundable once an analysis has been initiated and processing has begun.

Subscription Plans: Monthly subscriptions may be cancelled at any time. Cancellation takes effect at the end of the current billing cycle. No partial-month refunds are provided for early cancellations.

Pricing: We reserve the right to change pricing at any time with 30 days' notice to subscribers. Price changes do not affect the current billing cycle.

Failed Payments: If payment fails, access to the Service may be suspended until payment is resolved.

All payments are processed by Stripe. We do not store your full payment card information.

6. Investment Disclaimer

SkAI's analysis outputs — including but not limited to cap rate estimates, cash-on-cash projections, IRR calculations, deal scores, and market comparisons — are generated by artificial intelligence based on information you provide. These outputs:

Are not professional appraisals, broker price opinions, or certified valuations
Are not investment advice or a recommendation to buy or sell any property
Do not establish a fiduciary, advisory, or professional relationship between SkAI and you
May contain errors, omissions, or inaccuracies due to limitations of AI systems and the quality of input data
Should be independently verified by qualified professionals before being relied upon

Real estate investment involves substantial risk, including the possible loss of principal. Past market conditions are not indicative of future performance. You are solely responsible for conducting your own due diligence and making your own investment decisions.

7. Intellectual Property

Our Property: The Service, including all software, algorithms, models, designs, logos, and content created by SkAI, is owned by SkAI and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Your Content: You retain ownership of documents you upload. By uploading, you grant SkAI a limited, non-exclusive license to process your documents for the purpose of providing the Service. We do not claim ownership of your uploaded materials.

Analysis Outputs: Generated analysis reports are licensed to you for personal or internal business use. You may not resell or redistribute analysis outputs commercially without our written consent.

8. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKAI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Investment losses or missed opportunities based on SkAI analysis
Errors or inaccuracies in AI-generated analysis
Loss of data or document processing failures
Third-party claims arising from your use of analysis outputs

IN NO EVENT SHALL SKAI'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AI-GENERATED ANALYSIS MAY CONTAIN ERRORS AND SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR ANY INVESTMENT DECISION.

11. Indemnification

You agree to indemnify, defend, and hold harmless SkAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Any investment decisions made based on SkAI analysis

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violations of these Terms. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration or in courts of competent jurisdiction in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 14 days before taking effect. Your continued use of the Service after changes are effective constitutes acceptance of the revised Terms.
